Corporate Governance

Rubis is a partnership limited by shares, governed by Articles L. 226-1 et seq. of the French Commercial Code. This legal structure allows for two categories of Partners.

Limited Partners (associés commanditaires) (the shareholders), who have similar status to shareholders in a public limited company (société anonyme). They can trade their shares under the same conditions, and their liability is limited to the amount of their investment.

General Partners (associés commandités), who are considered merchants. They have unlimited joint and several liability for corporate debts from their own assets and cannot freely dispose of their rights. Rubis’ General Partners are: Mr Gilles Gobin – Sorgema – GR Partenaires.

The Company also has a Supervisory Board, which represents the Limited Partners. It exercises continuous oversight over the Company’s management. The Company is managed by one or more General Managers (Gérants), who may be either individuals or corporate entities, chosen from among the General Partners or third parties.
